Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SqDine platform, including our website, web application, and any related services (collectively, the "Service") operated by Milex Systems Ltd, trading as SqDine ("SqDine", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using SqDine, you represent that you have the legal capacity to enter into a binding agreement and that you will comply with these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Promptly update your information if it changes.
  • Notify us immediately at support@sqdine.com if you suspect unauthorized access.
  • Not share your account with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Description of Service

SqDine is a cloud-based event management platform that enables users to create events, manage guest lists, send digital invitations, track RSVPs, and facilitate attendee check-in. Features vary by subscription plan.

4. Subscriptions & Payments

SqDine offers the following subscription plans: Starter (free), Pro, and Enterprise. Paid plans are billed monthly or annually in advance. By providing payment details, you authorise us to charge the applicable fees on each billing cycle.

  • All fees are exclusive of applicable taxes unless otherwise stated.
  • Subscriptions renew automatically until cancelled.
  • You may cancel at any time; access continues until the end of the current billing period.
  • We do not provide refunds for partial billing periods except where required by law.
  • We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Send unsolicited communications (spam) to guests or third parties.
  • Upload or transmit content that is unlawful, harmful, defamatory, or infringing.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to collect data about others without appropriate legal basis.
  • Impersonate any person or entity.

6. User Content

You retain ownership of all content you upload or create through the Service ("User Content"), including event details, guest data, and branding assets. By uploading User Content, you grant SqDine a limited, non-exclusive, worldwide licence to host, store, and process that content solely to provide the Service.

You are solely responsible for ensuring that your User Content and your use of guest data complies with applicable data protection laws, including obtaining any necessary consents from your guests.

7. Workspaces & Teams

SqDine uses a workspace model. The workspace owner is responsible for all activity within their workspace, including the actions of any co-hosts or members they invite. Workspace owners must ensure invited members comply with these Terms.

8. Intellectual Property

All rights, title, and interest in the Service — including the SqDine name, logo, software, design, and documentation — are and remain the exclusive property of Milex Systems Ltd Nothing in these Terms grants you any right to use our intellectual property except as strictly necessary to use the Service.

9. Third-Party Services

The Service integrates with third-party providers including Google (authentication), AWS (file storage), and Resend (email delivery). Your use of those integrations may be subject to the respective provider's terms. We are not responsible for the conduct of third-party services.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. We may suspend access temporarily for maintenance, security incidents, or circumstances beyond our reasonable control. We will endeavour to provide advance notice of planned downtime where practical.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not warrant that the Service will be error-free, secure, or free from interruption.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SqDine shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amounts you paid to SqDine in the 12 months preceding the claim, or (b) USD 100.

13. Indemnification

You agree to indemnify, defend, and hold harmless SqDine and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

14. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access immediately if you materially breach these Terms or if we are required to do so by law. On termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes your acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Milex Systems Ltd is incorporated, without regard to its conflict-of-law provisions. Any disputes shall be resolved through binding arbitration or, where arbitration is not permitted, in the courts of that jurisdiction. You waive any right to participate in a class action lawsuit.
